Gullett, Sanford, Robinson & Martin PLLC (GSRM Law) seeks a partner-level attorney (or group of attorneys) with experience in business, corporate, and transactional law. Responsibilities

• Advise clients on a broad range of matters, including business formation, governance, commercial transactions, mergers and acquisitions, financing, regulatory compliance, restructuring, and succession planning
• Structure, draft, review, and negotiate purchase agreements, operating agreements, shareholder agreements, commercial contracts, and other transactional documents
• Lead and manage complex business transactions from initial planning through closing
• Conduct and oversee due diligence in connection with mergers, acquisitions, financings, regulatory audits, and other transactions
• Serve as a trusted legal advisor to business owners, executives, and management teams
• Collaborate with attorneys across the firm's tax, real estate, employment, litigation, and estate planning practices to provide comprehensive client solutions
• Develop and maintain strong client relationships
• Contribute to the continued growth of the firm's business/corporate practices through marketing and business development

Requirements

Qualifications

• Admission to the Tennessee Bar
• 7+ years of corporate/business experience
• Outstanding written and verbal communication skills
• Proven ability to develop and maintain client relationships
• Excellent drafting, negotiation, analytical, and problem-solving skills
• Strong organizational and matter management abilities
• Ability to work professionally and effectively with clients, partners, associates, and support staff
• Preference for candidates with portable business or proven track record of business development
• Experience with securities law, private placement and equity offerings a plus
